In am having a hard time choosing words to construct a smart fit in itunes
Unwound like to
1 find all the tunes with out a genre
2 all tunes not in a play list
3 all playlist not in a folder

For #1, use a rule "Genre" "is" "" (in other words. leave it blank).
For #2, put all your playlists into a folder "All Lists" and then use a rule "Playlist" "is not" All Lists".
#3 is out of scope of smart playlist logic, but can be done by inspection of the sidebar.
